Common questions
Should I form an LLC or a corporation?
It depends on how you plan to raise money, pay yourself and handle taxes. Many small businesses start as LLCs, and companies planning to raise venture capital often form corporations.
Do I need an operating agreement?
New York requires LLCs to adopt a written operating agreement. Even where it isn't required, it sets out who owns what and what happens if a member leaves.
What is New York's LLC publication requirement?
New York LLCs must publish notice of formation in two newspapers within 120 days of forming, or lose the authority to do business in the state until they comply.
